Offering

Definition

A CRT offering is when a YouTube Creator raises capital through GigaStar Market by selling Channel Revenue Tokens to Investors, with each offering backed by a Form C filed with the SEC.

Understanding Offering

An offering on GigaStar's platform is the process by which a YouTube Creator raises capital by selling Channel Revenue Tokens (CRTs) to Investors through GigaStar Market, the SEC-registered funding portal. Each offering is conducted under SEC Regulation Crowdfunding (Regulation CF) and requires the filing of a Form C with the SEC prior to the start of the offering.

The Form C is a comprehensive disclosure document that provides Investors with material information about the offering. It includes details about the Creator, the terms of the revenue share, the maximum raise amount, the funding goal, risk factors, financial information, and how the Creator intends to use the proceeds. This document is publicly available on the SEC's EDGAR database and on GigaStar Market's platform.

Each offering has a defined structure. The Creator and GigaStar agree on the revenue share percentage that will be distributed Monthly to CRT holders, along with the total number of tokens to be issued and the price per token. Offerings have both a minimum funding goal that must be met for the offering to close successfully and a maximum raise amount that caps the total capital raised.

During the offering period, Investors can review the Form C and other offering materials, ask questions, and commit capital to purchase CRTs. Under Regulation CF, Investors have the right to cancel their investment commitment up to 48 hours before the offering closes. If the minimum funding goal is not met by the offering deadline, all Investor commitments are returned.

Once an offering closes successfully, CRTs are issued to Investors, and Monthly distributions begin based on the Creator's YouTube revenue. Each offering represents a distinct investment opportunity tied to a specific Creator, and Investors should evaluate each on its own merits and risks.

Key Points to Remember

Frequently Asked Questions

Are CRTs cryptocurrency?

No. CRTs are traditional securities registered with the SEC under Regulation Crowdfunding. They represent contractual rights to a share of a Creator's YouTube revenue, not a digital currency or blockchain token. Unlike cryptocurrency, CRTs have regulatory oversight from the SEC and FINRA, required disclosure documents (Form C), and Investor protections built into the offering structure.

What happens if a Creator stops making videos?

If a Creator significantly reduces or stops content production, their YouTube revenue would likely decline, which directly reduces or eliminates your distributions. This is one of the key risk factors of CRT investing—your distributions depend on ongoing Creator activity and YouTube revenue generation. While existing videos may continue to earn some revenue, new content is typically the primary driver of channel performance.

What makes CRTs an alternative investment?

CRTs do not correlate directly with stock or bond markets. They represent a new asset class tied to Creator YouTube revenue in the Creator Economy. Like all alternative investments, CRTs are speculative, less liquid than traditional securities, and should represent only a portion of a diversified investment approach. Their performance is driven by individual Creator channel activity rather than broader market conditions.
